GHansen Enterprises Inc, Referral Agreement

This legally binding contract (the "Agreement") is by and between GHansen Enterprises Inc., a Florida corporation, and you and your assigns, employees, agents or contractors ("You", "Your", the "Referring Agent") and is effective as of the date you submit this agreement on www.ontime1405.com.com with the name of your business, name of an authorized representative of your business, and full business address listed within the form. This will constitute a digital signature of the authorized representative.

This Agreement sets forth the terms and conditions of the Referring Agent and GHansen Enterprises Inc., wherein the Referring agent does recommend GHansen Enterprises Inc. appointment call reminder services to customers (collectively, the "Clients") who later engage in the use of GHansen Enterprises Inc. call services (collectively, the "Services") and represents the entire agreement between You and GHansen Enterprises Inc. relating to the Clients and Services. This Agreement contains provisions that set forth GHansen Enterprises Inc. Referral Policy.

By referring Clients to GHansen Enterprises Inc., You acknowledge and agree that You have read, understand, acknowledge and agree to be bound by all the terms and conditions of this Agreement, along with any new, different or additional terms, conditions or policies that GHansen Enterprises Inc. may establish and post on its website from time to time.

Referral Policy

If the Referring Agent does recommend GHansen Enterprises Inc. appointment call-reminder services to a customer, and said customer later engages in the use of GHansen Enterprises Inc. services, then GHansen Enterprises Inc. agrees to pay the Referring Agent 30% of the amount of the recurring service fee collected from the customer for a period no longer than 6 months. This will constitute the "Referral Fee", and will be calculated after the service fee is collected from the client. When 6 Months is passed from the customer's original payment date, and they are still actively using the services, GHansen Enterprises is no longer obligated to pay any service fee percentage to the referring agent. GHansen Enterprises will, from time-to-time extend the referral fee to 10% for each subsequent month after the 6 month period. This extension of the referral fee must be put in writing between an authorized employee at GHansen Enteprises Inc. and the Referring Agent. If no service fee is collected from the customer then GHansen Enterprises Inc. is under no obligation to pay any money to the Referring Agent.

Proof Of Referral

Prior to the payment of the Referral Fee to the Referring Agent, an authorized representative of the Client must express in writing addressed to GHansen Enterprises Inc. or by specifying the Referring Agent in the www.ontime1405.com sign-up process, that that the Referring Agent did recommend GHansen Enterprises Inc. appointment reminder call services to said Client. If a client names multiple Referring Agents, then only the first Referring Agent to be named by the Client in writing addressed to GHansen Enterprises Inc., will be considered eligible for the Referral Fee.

Form and Time Of Payment

GHansen Enterprises Inc. agrees to pay the Referral Fee to the Referring Agent via check. The check will be issued and mailed to the most recent address provided to GHansen Enterprises Inc. for the Referring Agent.

30 calendar days after the following conditions are met, the a client pays the full balance of the installation fee, and after all other conditions of this agreement are met, GHansen Enterprises Inc. agrees to pay the Referral fee to the referring Agent.

Fees for Services ordered by You shall be charged beginning on the date of the initial order and signed agreement and that date shall serve as the monthly anniversary date for all future billings including one time fees, upgrades, additional services, cancellations and service credits. Fees are due in advance of the monthly service cycle and will be billed on the anniversary date of each month.

From time to time it may be necessary to make adjustments in the fees and surcharges charged for the Services in order to cover certain changing costs (e.g., Voice Delivery) incurred by GHansen Enterprises Inc. in providing the services. Such adjustments will be reflected on the statement or invoice provided to you for the Services, and you agree to pay for the fees and surcharges for the Services, as adjusted.

Tortuous Conduct

Any abuse towards any GHansen Enterprises Inc. employee will not be tolerated. You are expected to communicate in a professional manner, when emailing or calling GHansen Enterprises Inc. . Any cursing, yelling, or further intentional disruptive behavior aimed at GHansen Enterprises Inc. or its employees shall be considered a violation of this referral agreement.

Any threat; whether orally, verbally, in written, via E-mail, via Live Chat, delivered by second parties or delivered in any other way, and directed towards GHansen Enterprises Inc. or any of GHansen Enterprises Inc. 's employees, partners, staff, contractors, sub-contractors, facilities, offices, etc. shall be construed as a violation of this Terms of Service agreement. Threats of physical violence will be directed to the proper authorities. No Referral Fee shall be given when the above Tortuous Conduct clause is violated.

Assignment and Severability

This Agreement shall be binding upon and inure to the benefit of You, GHansen Enterprises Inc. and their respective successors, and assigns. You may not assign this Agreement without the prior written consent of GHansen Enterprises Inc. , which consent will not be unreasonably withheld. If any provision of this Agreement shall be held by a court of competent jurisdiction to be invalid, unenforceable, or void, the remainder of this Agreement shall remain in full force and effect.

GHansen Enterprises Inc. reserves the right to modify this agreement as needed without notice, and You agree that by creating, using, or otherwise engaging in business with GHansen Enterprises Inc., or by submitting this completed form with your name , that You have fully read, fully understand and agree to these Terms and Conditions. You understand that the Terms and Conditions in the Agreement are legally binding and that you are authorized to enter into such agreements on behalf of Your organization or Yourself.
